Prime Star Auctions LLC General Terms And Conditions

Our Auctions are conducted under these Terms and Conditions and applicable state and local law. All Parties acknowledge that they have read, received, and understands the terms on this document and in the auction brochure, and agree to comply with all terms, and will be bound by such. Announcements and corrections from the podium supersede those in the printed materials.

Definitions

Auctioneer (we, us) is Prime Star Auctions LLC

Bidder is any person who has registered and been accepted as a bidder by the us.

Buyer is any Bidder who has placed the winning bid with us.

Seller is any person who has consigned items, which are being sold by the us.

Registered Guest is any person who has registered to attend the auction but is not necessarily a Bidder.

Defects – We examine items prior to the auction and will try to list any defects there may be. We don’t guarantee that the item is defect free

Reserves –We reserve the right to have reserve prices on items. We will inform you when a reserve price has been met.

Mail bids – Mail bids are accepted and will be announced prior to the item being auctioned. The mail bid will be opened at the beginning of the outcry bidding. The starting bid will be the mail bid.

Preview – A specified date and time that the property is available for the prospective buyer to view and audit. Also known as Open House or Inspection. We recommend that all bidders view the lots prior to the auction. Lots will be available for viewing as announced.As Is –  Also known as “as is, where is” and “in its present condition.” No return privileges will be granted.

Caveat Emptor (Buyer Beware) – A Latin term meaning “let the buyer beware.”A legal maxim stating that the buyer takes the risk regarding quality or condition of the property purchased, unless protected by warranty.

Competing bid – We may be accepting bids for an item from other sources these include (but not limited to):

  • Bids from an in-house audience
  • Telephone bids
  • Book bids
  • Absentee bids
  • Other bidding platforms
  • Online bids
  • Reserve bids

Lot – A lot is single asset or a group of assets sold as a single unit for one price or as one price “times the money” with a minimum purchase quantity. Listen to the auctioneer’s instructions to be sure.

Proxy Bid/Absentee Bid – A procedure which allows a bidder to participate in the bidding process without being physically present. Generally, a bidder submits an offer on an item prior to the auction. The auctioneer or his representative usually handles absentee bids under an established set of guidelines. All bids are kept confidential from the auction house and other bidders.

Starting Price – the seller may set the starting bid for a given item, at the time of listing or the auctioneer at the time of the first out cry.

Reserve – The reserve price is the lowest price at which a seller is willing to sell an item. Although the reserve price is not listed per se when a bidder bids at or above the reserve price, the auctioneer will announce that fact.

Online/Virtual Auction – An auction that is for online bidders and may or may not conducted in front of a traditional live audience.

Conducting the Auction:

Role In Auction: We are acting as an agent of the Seller in this auction and is not responsible for acts, omissions or representation of the Seller on any of the Seller’s principals, officers, directors, employees or other agents.  All information was obtained from sources believed to be correct, but is not guaranteed. The Seller, and the Auctioneer assume no liability for its accuracy, errors or omissions. The Seller is offering all items for sale and not necessarily an absolute auction as there may be some reserve items on this auction.

Withdrawal Of items: We reserve the right to withdraw, prior to the close, any items from the Auction. We at any time, without notice or liability to Buyer, may withdraw or cancel the sale of any item. We will settle any dispute arising from any bidding and may put the disputed item up again for sale. We reserves the right to refuse any bid, which we consider to be an insignificant advance over the preceding bid.

Right To Rescind The Sale: We reserve the right to rescind the sale in the event of nonpayment, breach of a warranty, disputed ownership, our clerical error or omission in exercising bids and reserves, or for any other reason and in our sole discretion.

Holdover Period: We have the right to sell certain unsold items for sixty (60) days, after the close of the Auction. Such items shall be considered sold during the Auction and all these Terms and Conditions shall apply to such sales including but not limited to the Buyer’s Premium, return rights, and disclaimers.

Order Of The Auction: The order of the auction has been established. Please do not ask to have items sold out of order.

Condition & Value Of Items: All items are sold “AS IS, WHERE IS”, with no warranties or guarantees, expressed or implied. ALL SALES ARE FINAL. Illustrations, catalogs, pictures or video’s posted on www.primestarauctions.com website are for identification purposes only. Buyer assumes complete and sole responsibility for inspections of items prior to bidding and relies solely on its own inspection as to condition and value of items and not upon any representation, description, or nomenclature ours. Buyer waives any and all claims against us and Seller based on the condition and/or value of items. Buyer agrees to accept the item and immediately accepts title to and all risks of loss and theft of item at award of bid.

No Claims: Each person at the auction site at any time shall be there at his/her own risk without notice of the condition of the premises and the activities thereon, and Bidder shall so advise his agents and employees. No person shall have any claims against us, their agents, employees, or principals for any injuries sustained, nor for damages to or loss of item that may occur from any cause whatsoever. Bidder, whether acting as principal, agent, officer or director of a company or otherwise, in any capacity whatsoever, and the company he/she represents, both jointly and severally agree to indemnify and hold harmless Prime Star Auctions LLC and its Sellers from any and all actions, causes of action, suits, damages, costs and losses of any nature, arising from the purchase or use of any item, or the attendance or participation of Bidder, his agents or employees, at the auction sale and/or on the auction site whether before, during or after the auction sale; and all rights and defenses available to Us shall extend to the Seller.

Security

Security personnel are present at live auctions. Any one caught tampering with tags or labels, rearranging or moving merchandise to different containers or shoplifting will be prosecuted.

Security personnel are available to escort Buyers to their vehicles, if the Buyer should choose.

Bidding:

Bidders are required to submit a valid full name, address, email address and phone number. Prime Star Auctions LLC, reserves the right to reject registration to any person or entity for any reason.

All Bidders must meet the our qualifications to bid. We may make such determination in its sole and unlimited discretion, at any time prior to, during, or even after the close of the Auction. We reserve the right to exclude any person from the auction.

Purchases become the responsibility of, and shall be at the risk of Buyer upon acceptance of Bid. It shall be the responsibility of Buyer to obtain insurance for their purchased item(s) immediately. We will not be responsible for loss or damage to any item.

Contract & Payment – Any bid that is made constitutes an irrevocable offer to buy the item(s) in question for the full bid amount, plus any stated Buyer’s premium and/or local or state taxes. A legally binding contract between the Bidder, on one hand, and the Auctioneer and the Seller on the other hand, is formed when a Bidder makes the highest bid and the bid is accepted the Auctioneer.

Non bona fide bid – If we determine that the highest bid was NOT a bona fide bid, the bid will NOT automatically go to the second highest Bidder. We reserve the right to determine whom the next successful Bidder will be. All Bidders must be at least 18 years of age in order to register and bid.

No Bid Retraction – No Bidder shall retract his/her bid. Auctioneer reserves the right to refuse registration to anyone and may revoke bidding rights at any time.

Additional administrative fees  – Additional administrative fees and Document, title and other fees may be charged when applicable. If Buyer is “demanding title,” Buyer will receive title paperwork within 30 days of the auction, as long as all fees and necessary documentation has been provided from Seller and the Buyer.

Winning Bids – The highest qualified Bidder recognized by the us shall be the Buyer. In the event of a tie bid, the earliest bid recognized wins. In the event of any dispute between any Bidders at an Auction, we may at our sole discretion reoffer the item. Our decision and declaration of the winning Bidder shall be final and binding upon all Bidders. Bids properly offered, whether by floor Bidder or other means of bidding, may on occasion be missed or go unrecognized; in such cases, the Auctioneer may declare the recognized bid accepted as the winning bid, regardless of whether a competing bid may have been higher. We reserve the right to refuse to honor any bid or to limit the amount of any bid, in its sole discretion.

Reserves

Notice of the Seller’s liberty to place bids on his consigned items in the Auction is hereby made!

Reserve Bid Before The Auction: Before the auction, the Seller of an item may place reserve bids in advance of the auction; on such items if the hammer price does not meet the “reserve bids”, the item will not be sold, however, the Seller may have to pay full commission on those items.

Shill Bidding At The Auction: We know it is easy for the Seller to bid or to have someone else bid for them on their own item. We also know that is hard to catch someone doing this practice. So we have initiated the following policy. Seller or their proxy, may bid on his/her Item on the Auction floor, or by any means during the live session, however we will require that if the Seller ends up with the item, we require the Seller to pay for the item, pay the full Buyer’s Premium (if any) and Seller’s Commissions on such item and a penalty premium of 10% of the final hammer price. Regardless of the disclosure of his identity, any bid by a Seller or his agent on an item consigned by him is deemed to be made in “Good Faith.” We strongly suggest, that if a Seller has concerns about an item’s price that they should establish a Reserve price rather than bid during the auction.

PLEASE READ: this auction permits bids to be placed by the seller or on the seller’s behalf, even if such bids are placed solely for the purpose of increasing the bid. In accordance with UCC 2-328, this auction is permitted to engage in this activity by providing this clear disclosure to you, the bidder.

This auction company has requested and been granted access to see all bids placed including any maximum pre-bids. This auction is permitted to engage in this activity by providing this clear disclosure to the bidder.

Family Members Bidding At The Auction: Immediate family members are allowed to bid on items at the Seller’s auction. If they are going to bid and avoid the paying the  additional 10% penalty premium of  Seller buy back they need to register as a family bidder prior to the auction.

Collision Selling Or Disruption: Agreements between Bidders and Sellers to effectuate a non-sale of an item at Auction, or to inhibit bidding on a consigned item, to enter into a private sale agreement for said item, or to utilize our auction to obtain sales for non-selling consigned items subsequent to the auction are strictly prohibited. If a subsequent sale of a previously consigned item occurs during the Holdover Period, We reserve the right to charge the applicable Bidder, a Buyer’s Premium and Seller a Seller’s Commission as determined for each auction venue and by the terms of the Seller’s agreement.

ABSENTEE BIDS

Bidding Options: We cannot be responsible for your errors in bidding, so carefully check that every bid is entered correctly. When identical absentee bids are submitted, preference is given to the first received. To ensure the greatest accuracy, your written bids should be entered on the standard printed bid sheet and be received at our place of business at least two business days before the Auction start.

Bid Forms: Absentee bidders must use the absentee bid form and clearly mark the lot number, title and maximum bid. Absentee bidding forms may be accessed online. If there is two (2) identical bids from absentee bidders, priority is given to the first bid received.

Absentee Bids Via Telephone: To bid live via telephone please contacts Don Pawlitschek at (507) 546-3448 at least 48 hours before the start of the auction.

Deposit For Absentee Bidding: In the case of absentee bids placed in any manner other than online bidding, a deposit may be required.

Bid Increments: Absentee bids will progress by whatever the floor increments are but not less than the following increments. The following chart governs current absentee bidding increments

SETTLEMENT

When Payment Is Due: Payment is due upon closing of the Auction session, or upon presentment of an invoice. We reserve the right to void an invoice if payment in full is not received within 7 days after the close of the Auction. In cases of nonpayment, Our election to void a sale does not relieve the Bidder from their obligation to pay us our fees (Seller’s and Buyer’s premium) on the item and any other damages pertaining to the item.

Payment: All purchases must be paid for with cash, cashier’s check, bank wire transfer, certified check or bank guaranteed personal or company check. Cash will be accepted from each individual Buyer in the amount of $2,500 or less, no exceptions. All personal or company checks must be accompanied by a bank guarantee letter or approved by the us.

All are subject to clearing and funds being received in our account before delivery of the purchases. We reserve the right to determine if a check constitutes “good funds” when drawn on a U.S. bank for ten days, and thirty days when drawn on an international bank

Failure To Pay Or Remove: If the Buyer does not pay for and remove the item(s) within the applicable removal period, We may resell the item without notice. If an item is resold for an amount less than the original, highest successful bid, the Buyer is obligated to pay the difference. In cases of nonpayment, our election to void a sale does not relieve the Bidder from their obligation to pay us and our fees (Seller’s and Buyer’s premium) and any other damages or expenses pertaining to the item. If full payment is not made by the end of the applicable removal period, the Buyer’s bidding privileges may be revoked and suspended from any other auctions until such time that the “open” invoice has been paid in full, regardless of whether an item has been resold.

Auctioneer Unable To Deliver: If for any reason we are unable to make available or deliver any item or clear title to the item, or documentation required of the item, whether before or after delivery, Our sole liability, if any, shall be the return of monies paid in respect of such item upon its return by Buyer. Any such purchase shall be returned or surrendered upon demand by us.

Default And Failure To Pay: Buyer will not be entitled to possession of items purchased until the total purchase price of all items including sales; use taxes and fees have been paid in full. In the event Buyer fails to pay the amount due within the stated time, or fails to comply with any terms, we  at our sole discretion, may resell the item.

Dishonored Payment: In the event that a Bidder’s payment is dishonored upon presentment(s), Bidder shall pay the maximum statutory processing fee set by applicable state law. If you attempt to pay via eCheck and your financial institution denies this transfer from your bank account, or the payment cannot be completed using the selected funding source, you agree to complete payment using your credit card on file.

Costs Of Default: A defaulting Bidder agrees to pay for the reasonable costs of resale (including a 10% Seller’s commission, if consigned to an auction conducted by us). The defaulting Bidder is liable to pay any difference between his total original invoice for the item(s), plus any applicable interest, and the net proceeds for the item(s) if sold at private sale or the subsequent hammer price of the item(s) less the 10% Seller’s commissions, if sold at our auction.

Credit Card: (Visa or Master Card only) and PayPal payments may be accepted up to $10,000 at our sole discretion, subject to the following limitations:

a)    sales are only to the cardholder

b)    purchases are shipped to the cardholder’s registered and verified address,

c)     We must pre-approve the cardholder’s credit line,

d)    a credit card transaction may not be used in conjunction with any other financing or extended terms offered by the us, and must transact immediately upon invoice presentation,

e)    rights of return are governed by these Terms and Conditions, which supersede those conditions promulgated by the card issuer,

f)      floor Bidders must present their card.

g)    Credit Card Charge backs will not be allowed.

h)     We may accept PayPal with prompt requests & action from the buyer for that type of payment.

i)       There may be Courtesy Fee for all Credit & Debit Card Purchases.

Auction Payment Network (APN): When available, Visa, MasterCard or Discover will be accepted thru Auction Payment Network (APN).  With APN, we never have possession of your full credit card number.  Your credit card on file will be charged following the auction when your order is ready to ship for: the total of your purchases, the appropriate on-line buyer’s premium, $5.00 flat handling fee, shipping, and insurance.  You will receive an emailed invoice from the auction house generally within 48 hours of the auction conclusion.

Taxes: All sales are subject to appropriate state Sales Tax laws. Sales tax, if applicable, will be charged to all Buyers unless they provide a valid resale card or valid bill of lading from a common carrier. Applicable use tax and registration will be charged for all DMV items.

Transfer Of Title and Risk Of Loss: Title to items passes to Buyer when full payment for all items has been received. Removal of items from our facility or other removal location is at the sole risk of Buyer or Buyer’s agent. If a third party is involved for removal, Buyer is still responsible for any and all risk of loss. No claims of any kind can be considered after the settlements have been made with the Sellers. Any dispute after the settlement date is strictly between the Bidder and Seller without involvement or responsibility of the Auctioneer.

Lien: We have a lien against the merchandise purchased by the Buyer to secure payment of the Auction invoice. We are further granted a lien and the right to retain possession of any other items of the Buyer, then held by the us, to secure payment of any Auction invoice or any other amounts due us from the Buyer. We shall have the right to offset such unpaid account by any credit balance due to Buyer.

With respect to these lien rights, we shall have all the rights of a secured creditor under Uniform Commercial Code, including but not limited to the right of sale. The Buyer grants us a security interest in the purchased items, to secure payment of the purchase price

In addition, with respect to payment of the Auction invoice(s), the Buyer waives any and all rights of offset he might otherwise have against the us and the Seller of the merchandise included on the invoice.

In the event of non-payment, we may proceed to file the Bidder Registration Agreement and Terms of Sale as a financing statement to perfect the security interest granted by this security agreement.

Delivery; Shipping; and Handling

General: All costs, responsibilities and risk of removal shall be the Buyer’s responsibility. Packaging, shipping of, and insurance on items may be available to successful bidders or you can have your own shipper handle your purchases. When we ship, the costs will be billed separately and are non-refundable. Items will ship 2-3 days after payment is received. If Buyer is unable to have items picked up or shipped by the date and time identified for removal, then contact us to make arrangements.

Your items will be released as soon as payment cleans our bank.

We request that your shippers schedule pick up times at least 24 hours in advance, this will insure no delays in pick up, and release of your purchases.

Buyers Responsibilities & Conduct: Buyer shall be responsible for all damage that it, its carriers, or its agents do to the item on any third party, in particular to Prime Star Auctions premises or other removal site in removing items purchased. If we consider such damage likely to occur, we may require Buyer to deposit such sum of money with us, by way of security, for the costs of reinstating that part of the premises likely to be damaged by removal of an item(s). Should Buyer refuse to deposit such monies, we may refuse access to its facilities or other removal site for the purpose of collecting all or any of the items it has purchased or rescind the sale of such items.

Removal of items: Removal of items will take place during designated times determined by the auctioneer. All items must be checked out before leaving the premises. Any bidder or person removing an item that is not theirs, will be barred from the premises and banned from bidding on any future auctions. If a bidder fails to remove an item with in the time frame allowed we reserve the right deem the item abandoned by the bidder and the bidder will lose any rights to that item. Buyer agrees to indemnify and hold harmless both the Seller and Auctioneer against any damage caused by the acts of Buyer.

If for any reason Buyer pays for but fails to remove any item within the time specified, the item shall be deemed abandoned, and we, at our sole discretion, may resell the item. Should it be necessary to resell any item, the net proceeds, after all costs including commission and storage, shall be credited to the original Buyer’s account and the original Buyer shall be forthwith, upon demand, pay us, as damages, any deficiency arising from the resale.

Warranties; Indemnification and Disclaimers:

NO WARRANTY, WHETHER EXPRESSED OR IMPLIED, IS MADE WITH RESPECT TO ANY DESCRIPTION CONTAINED IN THIS AUCTION.

Any description of the items contained in this Auction is for the sole purpose of identifying the items for those Bidders who do not have the opportunity to view the items prior to bidding, and no description of items has been made part of the basis of the bargain or has created any express warranty that the goods would conform to any description made by Auctioneer. Color variations can be expected in any electronic or printed imaging, and are not grounds for the return of any item. NOTE: Auctioneer, in specified auction venues, may have express certain written warranties and you are referred to those specific terms and conditions. .

We are selling only such right or title to the items being sold as we may have by virtue of consignment agreements on the date of auction and we disclaim any warranty of title to the Item. We disclaim any warranty of merchantability or fitness for any particular purposes. All images, descriptions, sales data, and archival records are the exclusive item of Prime Star Auctions LLC, and may be used by us for advertising, promotion, archival records, and any other uses deemed appropriate.

We disclaim all liability for damages, consequential or otherwise, arising out of or in connection with the sale of any Item. No third party may rely on any benefit of these Terms and Conditions and any rights, if any, established hereunder are personal to the Bidder and may not be assigned. Any statement made by the us is an opinion and does not constitute a warranty or representation. No employee or representative of Prime Star Auctions LLC, may alter these Terms and Conditions, and, unless signed by a principal of Prime Star Auctions LLC, any such alteration is null and void. We will not be liable for breakage of glass or damage to frames (patent or latent); such defects, in any event, shall not be a basis for any claim for return or reduction in purchase price.

Although every effort has been made to present descriptions on the Website, Brochure and Catalog clearly and accurately, the Brochure and Catalog are a guide only and we make no guarantees or warranties, expressed or implied, of any kind whatsoever, including merchantability. Bidder shall rely solely on his/her own inspection of the items in the auction. Bidder should not bid unless he/she has determined the condition of the item from his/her own inspection. We will be offering, on behalf of the owners, tangible personal item whose descriptions are used at all times for purposes of identification only. All descriptions of the merchandise, repairs, improvements, modifications, etc. are representations of the Seller of the items.

Indemnification: Buyer indemnifies and holds harmless Prime Star Auctions LLC, its directors, officers, employees and agents against any damage or loss which the Buyer or third parties may suffer on incur with respect to loss, damage or injury arising from the removal if any item(s). Bidder acknowledges that the auction site is a dangerous place.

Miscellaneous

Court Of Law & Arbitration: All disputes relating to this agreement shall be governed by and interpreted in accordance with the laws of the State of Minnesota. All claims will be brought in “District Court in Blue Earth County, Minnesota” and Bidders hereby consent to the jurisdiction of said court.

In the event of any dispute concerning this agreement, the prevailing party in such dispute shall be entitled to reasonable attorney’s fees and collection costs.

Contact Allowed: Acceptance of these Terms and Conditions qualifies Bidder as a client who has consented to be contacted by Prime Star Auctions LLC in the future. We may from time to time contact Bidder concerning sale, purchase, and auction opportunities available through the Prime Star Auctions LLC and its affiliates and subsidiaries. We will not sell or use your information for any other purpose.

Additional Terms For Special Types Of Auctions

Coins & Currency

Coins and currency are not on approval! No certified material may be returned because of possible differences of opinion with respect to the grade offered by any third party organization, dealer, or service. No guarantee of grade is offered for uncertified Item sold and subsequently submitted to a third-party grading service. There are absolutely no exceptions to this policy.

Grading – The process for determining the physical condition of an item. Different items have different grading systems.  All grading done is subjective and is the grade that the dealer or consigner has placed on the items. It is no way, meant to represent the true grading done by grading firm. Use your own judgment as to the grade! Items are open to thorough public inspection. It is the Bidder’s responsibility to determine condition, age, value or any other determinative factor. ABSOLUTELY NO COIN RETURNS ON THE BASIS OF GRADE.

Grading Abbreviations: For coins there is 70 different grades of condition and as such the grade assigned to an item is strictly the opinion of the person who has done the grading. Those general grades are: AG/About Good, G/good  VG/very Good,   F/Fine,   VF/Very Fine,   EF or(XF)/ Extremely Fine,   AU/Almost Uncalculated, BU/Brilliant Uncalculated,   MS Mint State,    PR/ Proof

Authentication: Unless publicly stated none of the items are authenticated as to being real or of the nature listed. Use your own judgment as to the authentication! We don’t guarantee that the item is authentic.

Authentication Policy: It is important to understand that although Prime Star Auctions has never, and would never, knowingly offer a fake or altered coin for sale, we offer no guarantee of authenticity of any item offered. If you wish to guarantee your purchase for authenticity Prime Star Auctions LLC will send your purchase to ANACS under the following terms:

1.     After a successful bid and before receiving the item, Bidder may request to have the item authenticated

2.     Successful bidder pays for coin and estimated authentication costs, and insurance & shipping cost related to the authentication service.

3.     Coin never leaves custody of Prime Star Auctions LLC.

4.     If coin is certified as authentic by ANACS then the item is released to the Buyer. Any differences in authentication costs will be refunded to the Buyer or an underpayment will be paid by the buyer

5.     If coin is judged to not be authentic or altered, successful bidder is given a full refund including shipping & insurance.

6.     If the item is not authentic, then the Seller is responsible to the Auctioneer to pay the authentication costs plus a commission of 10% of the bid price as costs.

Kids Auctions: We may have a special selection of items is reserved especially for children less than 16 years of age. This is to encourage future participation in the collecting hobby. The kids are the only ones allowed to bid in this live section of the auction. They must, use the bidding number of their parent or guardian. That adult agrees to be present and to help their child in the bidding. No child may bid without the parent or guardian present.

Online Auction

Internet Premium: 10% or as the particular auction states.
Participation Requirements: Valid Credit Card required for bidding approval.

Payment Instructions: All accounts must be settled at the conclusion of the auction. We accept Visa and MasterCard. Your credit card will be charged for your purchases, plus buyer’s premiums, and any taxes. A pre-auction authorization will be performed to establish available credit. NOTHING will be charged to your card until a purchase is made. Credit card charge back’s will not be accepted. At the end of auction, we will process the card on file for the hammer price & buyer’s premium, the shipping & handling fee will follow within a few days. If the card is declined on the first attempt you will be charged a $10.00 service fee & $2.50 for every day after until funds are available. For large purchases we use wire transfer. For bidders who live locally & would like to pay by cash or checks, you need to contact Don Pawlitschek at 507-546-3448 & make arrangements.

Sales Tax – Minnesota residents may be charged  sales tax.

Malfunction, Shutdown, Loss of Service, and Technical errors. Results of an auction may be rendered void if a technical error, malfunction, shutdown, or temporary loss of service occurs. In such an event, Prime Star Auctions LLC reserves the right to remedy the situation in whichever way best represents the seller, including the cancellation of existing bids. Prime Star Auctions LLC shall not be held liable in any way for any technical errors, malfunctions, shutdowns, or loss of service.

It is the Bidder’s responsibility to determine condition, age, genuineness, value or any other determinative factor. Auctioneer will not be responsible for any missed bids from any source.
